idlidu — Terms of Service
=========================
Version: 2026.09.15-counsel-approved
Date: 15 September 2026
Status: COUNSEL-APPROVED FOR PUBLISH — effective 15 September 2026.
Governing law / venue: India; courts of Nashik, Maharashtra (see §16).
0. Definitions
“Operator”, “we”, “us” means Saptarang Ventures (OPC) Private Limited.
“idlidu” means the Operator’s brand and product surfaces under idlidu.com
(including www, checkout when enabled, and dataset hosts).
“Service” means the self-serve HTTP APIs, MCP tool endpoints, documentation,
public samples, indices, and related software we make available.
“Dataset” (or “track”) means one product unit (e.g. finance, saas, robots)
with its own hosts, methodology, and disclaimer tokens.
“Key” means an API credential (typically prefixed idl_*) that authenticates
calls to the Service.
“Customer”, “you” means the person or entity that accepts these Terms or
uses the Service.
“Agent” means any automated system (including AI agents, scripts, bots, or
orchestrators) that calls the Service using your Keys or on your behalf.
“Content” means outputs returned by the Service (JSON, text, indices,
citations, computed check results, and similar).
“Upstream” means third-party public websites, registries, APIs, or files
that idlidu may observe or archive subject to allowlists and ToS gates.
“Soft launch” means the period in which paid auto-checkout may be incomplete
and access may be waitlist, Payment Link, or manually issued Keys.
1. Operator
idlidu is owned and operated by Saptarang Ventures (OPC) Private Limited,
CIN U43900MH2023OPC413456, registered office C-102, Acropolis Apartments,
Thatte Nagar, Gangapur Road, Nashik – 422005, Maharashtra, India.
Corporate particulars: https://www.saptarang.net/
Contact for legal / founders mail: research@idlidu.com
(There is no ticketed support desk — see §5.)
2. Agreement
By accessing www.idlidu.com, any dataset host, requesting a Key, paying for
a plan, or calling the Service (including via an Agent), you agree to these
Terms, the Acceptable Use Policy, the Privacy Policy, and any Dataset-specific
legal page or methodology that applies to the endpoints you use.
If you use the Service on behalf of an organisation, you represent that you
have authority to bind that organisation.
3. Service description
3.1 idlidu provides self-serve machine-readable access to point-in-time
archives, structured extracts, indices, and (for some Datasets) computed
checks described in each Dataset’s methodology.
3.2 The brand site (www) routes visitors and publishes handbook / pricing /
legal materials. Each Dataset may have separate docs, API, and MCP hosts.
3.3 The Service is designed for Agents and scripts as first-class clients.
Human dashboards are not the product.
3.4 We may offer free public samples (e.g. last index point only). Samples
are not a paid entitlement and may change or end without notice.
3.5 Soft launch: not every Dataset is “paid general availability.” Marketing
and handbook language that says soft-launch, fixture, or waitlist controls
over any generic “live” wording elsewhere.
4. What the Service is not
Unless a Dataset legal page expressly states otherwise, Content is NOT:
- a credit rating, credit score, or regulated financial advice;
- a security certification, penetration-test report, or malware verdict;
- legal advice, tax advice, or investment advice;
- a brokerage, appraisal, or official government publication;
- a recruiting marketplace or employment recommendation;
- a guarantee of Upstream uptime, price, capacity, or ToS permission for
your own crawling.
Product-specific “not a …” tokens on each Dataset’s /legal page control over
generic marketing copy. See also DISCLAIMER-TOKENS.md in the legal pack.
5. No support desk; no consultancy SKU
There is no human support SLA and no advisory / consultancy product sold as
part of standard plans. Documentation, OpenAPI, MCP tool schemas, samples,
and methodology are the support surface.
Mail to research@idlidu.com may receive founder replies with honest multi-day
expectations. That is not a ticket queue and creates no SLA.
Separately, founders may quote custom data collection / processing jobs by
email; those are scoped contracts, not these standard Terms’ default SKU.
6. Accounts, Keys, and Agents
6.1 Access to non-sample endpoints requires a Key. Keys are secrets. You must
store them securely and not embed them in public repositories or client-
side code that third parties can read.
6.2 You are responsible for all use under your Keys, including use by Agents
you configure, employees, contractors, and anyone you share a Key with.
6.3 Do not share Keys across separate customer organisations. Do not “farm”
Keys to evade plan quotas.
6.4 We may rotate, suspend, or revoke Keys for AUP breach, security risk,
non-payment, suspected compromise, or operational necessity.
6.5 You must promptly notify research@idlidu.com if you believe a Key is
compromised.
6.6 Agents act as your tools. Outputs consumed by Agents remain subject to
these Terms and Dataset disclaimers; Agent mistakes are yours to manage.
7. Licence to you
Subject to these Terms and your plan entitlements, we grant you a limited,
non-exclusive, non-transferable, revocable licence to:
- call the Service programmatically;
- use Content for your internal business or research purposes;
- store and process Content as needed for those purposes.
Unless an Archive / dump entitlement expressly says otherwise, you may not:
- resell raw snapshot bulk dumps as a competing archive product;
- publicly re-host substantial verbatim Upstream HTML/PDF corpora obtained
via idlidu in a way that substitutes for Upstream;
- remove methodology, schema version, or citation fields when redistributing
derived analytics to end users (pass through honesty where feasible).
Ownership of Upstream content remains with Upstream rights holders. Our
licence is to our Service and our compiled indices / extracts, not a transfer
of Upstream copyright.
8. Acceptable use
Use is subject to the Acceptable Use Policy (04-ACCEPTABLE-USE.txt) and each
Dataset’s methodology and legal page. Material AUP breach is grounds for
immediate suspension without refund beyond what the Refund Policy requires.
9. Fees, plans, and checkout
9.1 Plan names and list prices on Dataset sites are informational until you
complete a paid checkout or receive a written quote.
9.2 Paid checkout, when enabled, is via PayU (hosted INR checkout; USD list
prices converted at a live FX rate shown at checkout). Crypto Path A/B may
exist in code but is not buyer-ready until explicitly enabled; crypto
payments are final (no chargebacks). x402 / pay-per-call is not offered.
9.3 Soft launch may use waitlist, email pay requests, and manual Keys.
9.4 No “unlimited” usage. Quotas and rate limits apply.
9.5 Refunds and cancellations: see 06-REFUND-CANCELLATION.txt.
9.6 Taxes: the Operator is not registered for GST and does not hold a GSTIN.
Fees are stated exclusive of any tax that may later apply; you are
responsible for taxes arising from your purchase where the law so provides.
10. Soft launch and changes to Datasets
We may add, pause, or retire Datasets; change seed universes; or switch a
Dataset between fixture and live observation modes. Material changes to paid
entitlements will be posted on legal / handbook pages. Continued use after
posting constitutes acceptance where permitted by law.
11. Intellectual property
11.1 The Service software, documentation, compilation of indices, trademarks
(“idlidu”), and site design are owned by the Operator or its licensors.
11.2 You retain rights in your prompts, query parameters, and Shape C inputs
you submit (see Privacy). We do not claim ownership of your confidential
structures solely because you hashed or checked them.
11.3 Feedback you send may be used to improve the Service without obligation.
12. Third-party services and Upstream
The Service depends on Cloudflare and other subprocessors (see Privacy /
SUBPROCESSORS.md). Upstream sites may change, block, or rate-limit observers.
We do not warrant Upstream availability. Live fetching by idlidu bots is
gated by allowlists and per-track SOURCES / ToS notes; bots identify as
described on /bot/.
13. Warranties disclaimed
THE SERVICE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Extracts are best-effort; where raw snapshots and citations are offered, they
are the authority over derived fields.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS
OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Responses should carry methodology / schema versions when available — rely
on those versions, not marketing copy.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS DIRECTORS ARE
NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR
LOST-PROFIT DAMAGES, OR FOR DECISIONS MADE BY HUMANS OR AGENTS USING THE
SERVICE.
AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE
FEES YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM
(OR ZERO WHILE ACCESS IS WAITLIST / COMPLIMENTARY / SOFT-LAUNCH WITHOUT PAID
FEES).
Some jurisdictions do not allow certain limitations; in those cases our
liability is limited to the minimum permitted by law.
15. Indemnity
You will defend and indemnify the Operator against claims arising from:
(a) your or your Agents’ misuse of the Service; (b) your redistribution of
Content in violation of these Terms or Upstream rights; (c) your violation
of law; (d) disputes between you and your own customers based on Content
you presented as a regulated rating, advice, or certification.
16. Governing law and disputes
These Terms are governed by the laws of India.
Subject to mandatory consumer protections that cannot be waived, courts in
Nashik, Maharashtra, India have exclusive jurisdiction.
(Consumer / online contract formalities and any escalation path remain as advised for this pack.)
17. Suspension and termination
We may suspend or terminate access for AUP breach, security risk, non-payment,
legal demand, or operational necessity.
You may stop using the Service at any time. Prepaid periods are handled under
the Refund Policy.
On termination, your licence ends; we may delete or retain Keys and logs as
described in Privacy / RETENTION.md.
18. Changes to these Terms
We may update these Terms. The version date above will change. Material
changes will be posted on https://www.idlidu.com/legal/terms/.
Continued use after posting constitutes acceptance where permitted by law.
19. Miscellaneous
If a provision is unenforceable, the remainder stays in effect.
These Terms plus AUP, Privacy, Refund Policy, and applicable Dataset legal
pages are the entire agreement for standard self-serve use.
Failure to enforce is not a waiver.
You may not assign these Terms without our consent; we may assign to an
affiliate or successor.
